Important: Audit Shield is a software tool only. Nothing in this platform, and nothing provided by Audit Shield Pty Ltd, constitutes legal, financial, compliance, or professional advice. Your firm is responsible for all compliance decisions and obligations.

1. About Audit Shield

Audit Shield is a compliance workflow software platform provided by Audit Shield Pty Ltd (ABN pending) ("Audit Shield", "we", "us"). The platform helps accounting firms manage documentation, workflows, and information retrieval related to their AML/CTF obligations under the Anti-Money Laundering and Counter-Terrorism Financing Act 2006.

2. What Audit Shield Is Not

By using this platform, you acknowledge and agree that Audit Shield:

  • Is a software tool and document management platform — not a compliance adviser, legal adviser, financial adviser, or regulatory consultant.
  • Does not provide legal advice, compliance advice, financial advice, or any professional service of any kind.
  • Is not a reporting entity under the AML/CTF Act 2006 and does not hold any AUSTRAC registration on your behalf.
  • Does not guarantee that use of the platform will result in compliance with any law or regulation.
  • Does not make any determination regarding your firm's AML/CTF obligations, risk profile, or compliance status.

The Verity AI feature is an information retrieval tool only. It retrieves and quotes from your uploaded documents. It does not provide recommendations, conclusions, risk classifications, or advice of any kind.

3. Acceptance

By creating an account or using the platform, you agree to these Terms of Service and our Privacy Policy. If you do not agree, do not use the platform.

4. Your Obligations

You agree to:

  • Use the platform only for lawful purposes and in accordance with these terms.
  • Ensure that documents and data you upload are ones you have the right to upload and process.
  • Not upload personal information about individuals without appropriate authority and a lawful basis.
  • Keep your account credentials secure and notify us immediately of any unauthorised access.
  • Not attempt to reverse-engineer, copy, or resell the platform or any part of it.
  • Make your own compliance decisions and not rely on the platform as a substitute for professional advice.

5. Data Processing

You retain ownership of all data you upload to the platform. You grant Audit Shield a limited licence to process that data solely to provide the platform services. We will not use your data for any other purpose. See our Privacy Policy and Sub-Processors page for details of how data is stored and processed.

6. Intellectual Property

Audit Shield and all associated software, designs, and content are owned by Audit Shield Pty Ltd or its licensors. Nothing in these terms grants you any right to use Audit Shield's intellectual property except as necessary to use the platform.

7. Limitation of Liability

To the maximum extent permitted by Australian law, Audit Shield Pty Ltd is not liable for any loss or damage (including indirect, consequential, special, or punitive damages) arising from your use of or inability to use the platform, including loss arising from reliance on any AI-generated content, any compliance outcome, or any regulatory action taken by or against your firm.

Where liability cannot be excluded under the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010), our liability is limited to resupplying the service or paying the cost of having it resupplied.

8. Disclaimers

The platform is provided “as is” without warranties of any kind. We do not warrant that the platform will be error-free, continuously available, or that any information retrieved by the Verity AI feature is accurate, complete, or current. You use all AI-generated content at your own risk and with your own professional judgement.

9. Termination

Either party may terminate the agreement at any time. We may suspend or terminate access to the platform if you breach these terms. On termination, your right to access the platform ceases immediately. Sections 6, 7, 8, and 10 survive termination.

10. Governing Law

These terms are governed by the laws of South Australia, Australia. The parties submit to the non-exclusive jurisdiction of the courts of South Australia.

11. Changes to These Terms

We may update these terms from time to time. We will notify users of material changes via the platform or by email with at least 14 days notice before changes take effect. Continued use after the effective date constitutes acceptance of the updated terms.
